General Terms of payment and Delivery VitaLIFE
1 Applicability
1a.Exclusively Dutch Law is applicable to all our deliveries and services.
1b.The conditions given below are applicable to all our deliveries and services.
1c.The conditions given below have precedence over the conditions set by the buyer if these conditions come into conflict with each other.
2 Payment
2a.Payment to VitaLIFE needs to be effected according to VitaLIFE's statutory terms of payment which are stated on the invoice.
2b.By exceeding the term of payment, the buyer is in default and a delay interest of 1,5% per month is due.
2c.All expenses connected to collection are charged to the party in default and will be charged pursuant to the common collection rates with a minimum of 15% of the total amount.
3 Reservation of Ownership
3a.VitaLIFE reserves the ownership of the delivered goods until all charged amounts including interest and expenses have been paid.
3b.As long as the ownership has not transferred to the buyer, he is prohibited to extend rights to these objects to third parties outside the scope of his normal company conduct. It is prohibited to pledge these objects or sell them.
4 Complaints, Liability
4a.Reclamation of delivered products needs to take place in writing, within eight days after receipt. VitaLIFE is never liable to more than redelivery or restitution of the purchase price.
4b.A complaint does not postpone the payment obligation.
4c.VitaLIFE is not liable for loss caused by delay due to late delivery.
4d.vitalife's liability for loss will never exceed the value of the delivered product.
5 Product Use
5a.Using our products needs to take place in accordance with the instructions or information leaflet.
5b.Nutritional supplements do not substitute the varied daily diet.
5c.Nutritional supplements are not medicines and do not serve as substitutes for medicines.
5d.Before using nutritional supplements it is advised to consult your GP or physician.
5e.Using the products of VitaLIFE is at one's own expense and risk.
6 Delivery Period
6a.Delivery takes place as soon as reasonably possible.
6b.VitaLIFE is not liable for delayed delivery due to shortage of products/base material or delayed supply of products/base material.
6c.Price changes arising from changes in the VAT rate, legal regulations and provisions and/or unexpected changes in cost prices of product/base materials can be enforced interveningly.
7 Date of Enforcement
7a.These conditions apply to all deliveries and services of VitaLIFE as of January lst, 2004.
